1. Introduction
Welcome to CyberCort. These Terms & Conditions (“Terms”) govern the use of our cybersecurity services, including but not limited to consulting, monitoring, threat detection, and incident response services. By engaging with our services, you (“Client”) agree to comply with these Terms. Please read them carefully.
2. Definitions
• “Service” refers to the cybersecurity services provided by CyberCort, including but not limited to consulting, monitoring, penetration testing, threat detection, and incident response.
• “Client” refers to the individual or entity that enters into an agreement with CyberCort for the provision of Services.
• “Agreement” refers to the contract between the Client and CyberCort that incorporates these Terms.
• “Confidential Information” refers to any non-public information disclosed by either party under this Agreement, including but not limited to business plans, technical data, and personal data.
3. Scope of Services
CyberCort agrees to provide cybersecurity services as outlined in the Agreement. The specific services, including scope, duration, and deliverables, will be detailed in the Service Agreement between CyberCort and the Client.
4. Client Responsibilities
The Client agrees to:
• Provide accurate and complete information necessary for CyberCort to perform the Services.
• Implement and maintain appropriate security measures and practices as recommended by CyberCort.
• Ensure that all employees, contractors, and agents comply with the security protocols and recommendations provided by CyberCort.
• Report any security incidents or breaches immediately to CyberCort.
5. Fees and Payment
• CyberCort reserves the right to suspend or terminate Services in the event of nonpayment.
6. Confidentiality
Both parties agree to maintain the confidentiality of all Confidential Information disclosed during the course of the Agreement. Confidential Information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law.
7. Data Protection and Privacy
CyberCort is committed to protecting the privacy and security of the Client’s data. We will adhere to applicable data protection laws and regulations in the handling of personal data. The Client agrees to our Privacy Policy, which is incorporated into these Terms by reference.
8. Intellectual Property
CyberCort retains all intellectual property rights in the materials, methodologies, and software used or created in the provision of the Services. The Client is granted a non-exclusive, nontransferable license to use any deliverables solely for its internal business purposes.
9. Limitation of Liability
To the fullest extent permitted by law, CyberCort shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with the Services.
10. Indemnification
The Client agrees to indemnify and hold harmless CyberCort from any claims, damages, or expenses arising out of or related to the Client’s use of the Services, including any breach of these Terms by the Client.
11. Termination
• Either party may terminate the Agreement with 30 days written notice.
• CyberCort may terminate the Agreement immediately if the Client fails to comply with these Terms or engages in any illegal or unethical activities.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey. Any disputes arising out of or in connection with these Terms shall be resolved through [insert dispute resolution mechanism, e.g., arbitration, mediation, or courts of jurisdiction] in New Jersey.
13. Changes to Terms
CyberCort reserves the right to modify these Terms at any time. Any changes will be communicated to the Client in writing, and continued use of the Services after such notification constitutes acceptance of the modified Terms.
14. Entire Agreement
These Terms, together with the Service Agreement, constitute the entire agreement between the Client and CyberCort and supersede any prior agreements, understandings, or representations.
